1. Introduction
Welcome to Utopi Digital Optimisation, a brand division of Cammegh Davies Fleming established in 1995. These Terms and Conditions govern your use of our digital marketing services. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access or use our services.
2. Definitions
- "Utopi Digital Optimisation" refers to the digital marketing agency division operated by Cammegh Davies Fleming.
- "Client" refers to any individual or entity availing of our digital marketing services.
- "Services" refers to the digital marketing services provided by Utopi Digital Optimisation & Cammegh Davies Fleming
- "Agreement" refers to the contract formed between Utopi Digital Optimisation and the Client upon acceptance of these Terms and Conditions.
3. Services
Utopi Digital Optimisation offers a range of digital marketing services including but not limited to search engine optimisation (SEO), website design, website development, content creation and paid advertising. The scope of services will be outlined in the agreement between Utopi Digital Optimisation and the Client.
4. Client Responsibilities
The Client agrees to provide accurate and timely information necessary for the provision of services by Utopi Digital Optimisation. The Client also agrees to comply with any requests or requirements communicated by Utopi Digital Optimisation to facilitate the delivery of services.
5. Fees and Payment
Fees for services provided by Utopi Digital Optimisation will be outlined in the agreement between Utopi Digital Optimisation and the Client. Payment terms and methods will also be specified in the agreement. Failure to make payments in accordance with the agreed terms may result in the suspension or termination of services.
6. Intellectual Property
All intellectual property rights associated with the services provided by Utopi Digital Optimisation, including but not limited to software, designs, and content, shall remain the property of Utopi Digital Optimisation or its licensors. The Client agrees not to reproduce, modify, or distribute any intellectual property belonging to Utopi Digital Optimisation without prior written consent.
7. Confidentiality
Utopi Digital Optimisation and the Client agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of their engagement. This includes but is not limited to business strategies, financial information, and client data.
8. Limitation of Liability
Utopi Digital Optimisation shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the provision of services, even if advised of the possibility of such damages. In no event shall the total liability of Utopi Digital Optimisation exceed the total fees paid by the Client for the services provided.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of The United Kingdom, England. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of The United Kingdom, England.
10. Amendments
Utopi Digital Optimisation reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective immediately upon posting on our website. It is the responsibility of the Client to review these Terms and Conditions periodically for changes.
By accepting these Terms and Conditions, the Client acknowledges that they have read, understood, and agree to be bound by all provisions herein.
